1) Services

Performance marketing, strategy, creatives, web UI/UX, development, SEO, analytics, and related consulting per proposal/Statement of Work (SoW).

2) Eligibility & Acceptance

You must have authority to contract on behalf of a business. Using the site/services indicates acceptance of these Terms.

3) Proposals, SoW & Changes

• Deliverables, timelines, and fees are defined in the proposal/SoW.
• Changes require mutual written approval and may affect scope, budget, and timeline.

4) Fees, Invoicing & Taxes

• Fees may include monthly retainers, project fees, media budgets, and platform costs.
• Invoices are due as stated; late payments may pause work.
• Applicable taxes (e.g., GST) are additional unless stated otherwise.

5) Client Obligations

• Provide timely access to accounts, data, and decision-makers.
• Ensure all provided assets and claims comply with laws and IP rights.
• Maintain platform accounts (e.g., Meta/Google) in good standing.

6) Intellectual Property

• Client owns their pre-existing IP and approved final deliverables upon full payment.
• We retain rights to pre-existing tools, methods, and know-how.
• Client grants us a revocable, non-exclusive license to reference name/logo in our portfolio unless prohibited in writing.

7) Third-Party Tools & Platforms

We may use third-party services (analytics, ad platforms, CMS, CRM). Their terms and privacy policies apply to your use of those services.

8) Warranties & Disclaimers

• Services are provided on an “as-is” basis. We do not guarantee specific rankings, ROAS, or outcomes.
• You are responsible for compliance in regulated industries and for obtaining necessary approvals.

9) Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for any claim is limited to the fees paid to us for the service giving rise to the claim in the 3 months preceding the event.

10) Indemnification

You agree to indemnify and hold us harmless from claims arising out of your content, unlawful use, or breach of these Terms.

11) Term & Termination

• Either party may terminate per the notice period in the SoW or for material breach (after cure period).
• Fees for completed work and committed costs remain payable.

12) Confidentiality

Both parties will protect confidential information and use it solely to perform obligations under the engagement.

13) Acceptable Use (Website)

• No unlawful, infringing, or harmful activity.
• No scraping, reverse engineering, or security testing without consent.
• No introduction of malware or disruptive scripts.

14) Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes will be subject to the exclusive jurisdiction of competent courts/tribunals in India. If you contract with us from the United States, state or federal courts in a mutually agreed venue may apply in your SoW.

15) Changes to Terms

We may update these Terms from time to time. Continued use after changes constitutes acceptance.
